Automate Routine

1. Acceptance of Terms

By accessing, registering for, or using the Automate Routine platform and related services, including our website at www.automateroutine.com (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Cookie Policy, each incorporated herein by reference.

If you are accessing the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. In such cases, "you" and "your" refer to that organisation.

If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By using Automate Routine, you represent and warrant that:

  • You are at least 18 years old;
  • You have the legal capacity to enter into a binding agreement under applicable Indian law;
  • You are not barred from receiving services under any applicable law; and
  • All information you provide during registration is accurate, current, and complete.

The Service is not directed at individuals under 18. In compliance with the Digital Personal Data Protection Act, 2023, we do not knowingly collect personal data from minors. If we discover that a user is under 18, we will suspend or terminate their account without notice.

3. Account Registration & Security

To access most features of the Service, you must create an account using a valid email address and password, or via a supported OAuth provider (Google or GitHub).

You agree to:

  • Provide accurate, complete, and current registration information;
  • Maintain the confidentiality of your account credentials;
  • Not share your login credentials or account access with any unauthorised third party;
  • Immediately notify us at support@automateroutine.com of any suspected unauthorised access or security breach; and
  • Accept full responsibility for all activity conducted under your account.

We may suspend or terminate accounts we reasonably believe have been compromised or are being used fraudulently, without prior notice.

4. Description of Service

Automate Routine is an AI-powered Scrum and sprint management platform designed for software engineering teams. The Service includes, without limitation:

  • Sprint planning, tracking, review, and retrospective management;
  • Product backlog and epic management;
  • Role-based workspace collaboration (Admin, Scrum Master, Product Owner, Development Team);
  • AI-powered sprint goal generation and retrospective analysis (powered by Anthropic Claude);
  • Team capacity planning and velocity tracking;
  • Meeting management (Daily Scrum, Sprint Review, Retrospective, Sprint Planning);
  • RoutineLite, a free tier with limited features; and
  • Superadmin and workspace administrative tools.

We reserve the right to modify, suspend, or discontinue any feature or the Service itself at any time, with or without notice. We are not liable for any loss or damage resulting from such modifications or discontinuation.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service for any unlawful, fraudulent, or malicious purpose;
  • Upload, post, or transmit content that is defamatory, obscene, harassing, or that infringes any third-party rights;
  • Upload or transmit malware, viruses, ransomware, or any disruptive code;
  • Attempt to gain unauthorised access to any part of the Service, other user accounts, or related infrastructure;
  • Conduct denial-of-service attacks, automated scraping, or bulk data extraction without our prior written consent;
  • Reverse-engineer, decompile, or disassemble the Service or any component thereof;
  • Impersonate any person or entity or misrepresent your affiliation;
  • Use the AI features to generate content that is illegal, harmful, sexually explicit, or violates any person's rights; or
  • Violate any applicable local, national, or international law or regulation.

Periodic Notice, Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (as amended 2026)

Consistent with our obligations as an intermediary, we hereby notify you that violation of these Terms, our Privacy Policy, or applicable law may result in the suspension or termination of your access to the Service and/or the removal or disablement of non-compliant content. This periodic reminder is issued at least once every three months as required by the applicable rules.

6. Subscriptions, Billing & Payments

Free Trial

New workspaces may access Pro Plan features through a 30-day free trial for up to 10 seats. No payment information is required during the trial. At trial expiry, the workspace reverts to the Free plan unless a paid subscription is activated.

Pro Plan, Per-Seat Billing

The Pro Plan is available on a per-seat, monthly subscription basis. Pricing varies by seat count and is displayed on our Pricing page. Payments are denominated in USD and processed in INR via Razorpay (Razorpay Software Pvt. Ltd., India), a payment processor licensed by the Reserve Bank of India.

  • Subscriptions are billed monthly and renew automatically unless cancelled before the next billing date;
  • By subscribing, you authorise us to charge your nominated payment method on a recurring monthly basis;
  • Failed payments may result in service suspension after reasonable notice by email;
  • Prices are subject to change with a minimum of 30 days' written notice; and
  • Teams exceeding 300 seats may contact us for enterprise pricing.

Cancellations & Refunds

You may cancel your subscription at any time via your workspace settings or by contacting support. Cancellation takes effect at the end of the current billing cycle; no further charges will be made thereafter. We do not issue prorated refunds for partial billing periods, except:

  • Where required by applicable Indian consumer protection law;
  • In cases of verified billing errors or duplicate charges (report within 7 days of the charge); or
  • Where we have materially breached these Terms.

7. User-Generated Content

The Service allows you to create, upload, and manage content, including sprint data, task descriptions, comments, uploaded files, and AI prompts ("User Content").

You retain full ownership of all User Content you create or upload.

By submitting User Content, you grant Automate Routine a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, display, and transmit your User Content solely to the extent necessary to provide and improve the Service. This licence terminates when you delete the content or close your account.

You represent and warrant that:

  • You own or have the necessary rights to submit the User Content;
  • Your User Content does not infringe any third-party intellectual property, privacy, or other rights; and
  • Your User Content complies with these Terms and applicable law.

8. Intellectual Property

All platform content, software, source code, design, branding, trademarks, logos, and other materials constituting the Service (excluding User Content) are owned by or licensed to Automate Routine and are protected under Indian and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during the term of your account, subject to these Terms.

You must not copy, modify, distribute, sell, sublicence, or exploit any part of the Service or its content without our prior written consent.

9. Third-Party Integrations & Services

The Service integrates with or relies upon the following third-party services:

  • Google OAuth / Google Sign-In (Google LLC, USA), for authentication; subject to Google's Terms of Service and Privacy Policy;
  • GitHub OAuth (GitHub Inc., USA), for authentication; subject to GitHub's Terms of Service and Privacy Policy;
  • Razorpay (Razorpay Software Pvt. Ltd., India), our payment processor; subject to Razorpay's Terms of Service;
  • Anthropic Claude (Anthropic PBC, USA), our AI provider for sprint goal generation and retrospective analysis; and
  • Other infrastructure providers described in our Privacy Policy.

These third parties have their own independent terms and privacy policies. We are not responsible for the acts or omissions of any third-party service, including outages, data handling, or platform changes. Your use of third-party integrations is at your own risk.

10. AI Features & Synthetic Content

The Service uses artificial intelligence (powered by Anthropic Claude) to provide sprint goal suggestions, retrospective analysis, and other AI-assisted features.

AI Disclaimer

  • AI-generated content may contain inaccuracies, omissions, or errors;
  • Outputs are provided for informational and decision-support purposes only;
  • You are solely responsible for reviewing, validating, and acting on any AI-generated suggestions; and
  • We are not liable for decisions made in reliance on AI outputs.

Synthetically Generated Information

In compliance with the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (as amended 2026), where the Service enables the creation of AI-generated or synthetically generated information ("SGI"), you agree to:

  • Declare when content has been generated or substantially modified by AI;
  • Not use the Service to create SGI that is defamatory, obscene, or deceptively misrepresents real persons or events; and
  • Comply with any SGI labelling or metadata-embedding requirements we implement in accordance with applicable law.

11. Data & Privacy

Your use of the Service is governed by our Privacy Policy, incorporated into these Terms by reference. By using the Service, you acknowledge the data practices described in the Privacy Policy.

If you submit personal data of third parties (such as team members) through the Service, you are responsible for ensuring you have the appropriate legal basis to do so, including obtaining any necessary consents.

12. Service Availability & Modifications

We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance, upgrades, or unforeseen events may cause temporary downtime. We will endeavour to provide advance notice of planned maintenance.

We reserve the right to modify or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes that adversely affect your use.

13. Termination

By You

You may terminate your account at any time by contacting us at support@automateroutine.com or via your account settings. Termination will be processed within 7 business days of your request.

By Us

We may suspend or terminate your access, immediately or after reasonable notice, if:

  • You violate these Terms, our Privacy Policy, or applicable law;
  • We are required to do so by law or court order;
  • We determine it is necessary to protect the security or integrity of the Service; or
  • Your account has been inactive for more than 12 months (we will provide 30 days' notice before deletion).

Data After Termination

Following account termination, you will have a 30-day window to export your data. After this window, your data will be permanently deleted from our active systems, except where retention is required by law (for example, financial and payment records retained for 7 years under Indian tax law and the Companies Act).

14. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Automate Routine, its directors, officers, employees, and agents shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages;
  • Loss of profits, revenue, data, or business opportunities;
  • Service interruptions or downtime;
  • Unauthorised access to or alteration of your data; or
  • Any third-party conduct on or through the Service.

Our total aggregate liability to you for all claims arising under or related to these Terms shall not exceed the greater of (a) the total amounts paid by you in the 12 months immediately preceding the claim, or (b) ₹5,000 INR.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, wilful misconduct, or any liability that cannot lawfully be excluded under Indian law.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that:

  • The Service will be error-free, uninterrupted, or secure;
  • Defects will be corrected within a specific timeframe;
  • AI-generated content will be accurate, complete, or fit for your purpose; or
  • The Service will meet your specific business or technical requirements.

16. Indemnification

You agree to indemnify, defend, and hold harmless Automate Routine and its officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of the Service in violation of these Terms;
  • Your User Content;
  • Your violation of any applicable law or third-party rights; or
  • Any claim that your User Content infringes a third party's intellectual property rights.

17. Dispute Resolution & Governing Law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, including but not limited to the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, and the Consumer Protection Act, 2019, without regard to conflict of law principles.

Informal Resolution

Before initiating formal proceedings, you agree to first contact us at support@automateroutine.com and attempt to resolve the dispute informally within 30 days of the notice.

Arbitration

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 (India), as amended. The seat and venue of arbitration shall be Mohali, Punjab, India. The proceedings shall be conducted in English by a sole arbitrator mutually agreed upon by the parties.

Jurisdiction

For matters not subject to arbitration and for enforcement of arbitral awards, the parties submit to the exclusive jurisdiction of the courts located in Mohali, Punjab, India.

18. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' prior written notice via email and/or a prominent in-app notification before the changes take effect.

For minor or non-material changes, we may update these Terms with immediate effect and will indicate the update by revising the "Effective Date" at the top of this page.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date.

19. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Automate Routine regarding the Service and supersede all prior agreements.
  • Severability: If any provision is held invalid or unenforceable, the remaining provisions continue in full force and effect.
  • Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms or your rights without our prior written consent. We may assign these Terms to a successor in connection with a merger, acquisition, or sale of assets, with notice to you.
  • No Agency: Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and Automate Routine.
  • Language: These Terms are provided in English. In the event of a conflict between an English version and a translated version, the English version shall prevail.
